SPV vs Holding Company Structures in 2026

SPV vs Holding Company Structures in 2026

The SPV vs holding company choice decides how you own your assets. An SPV holds one asset or one deal, so a lender can take its shares as security and you can exit by selling one company. A holding company owns several companies for years and moves their dividends and sale proceeds up to you with little or no tax.

The hard part is the setup. In Jersey, Guernsey and the BVI, only licensed administrators or agents can form the company. Cyprus and Malta give their tax results only when the holding tests are met. Substance rules treat a lending SPV differently from a pure holding company, and banks check every owner in the chain.

This is where we come in. We form your SPV or holding company where it fits best and handle the rest: the structure, the KYC pack, the licensed filing, the registers and the account with our banking partner. One team, no email chains, formed in about a week.

We form SPVs and holding companies in Jersey from €1,499 and in Cyprus from €1,200, with the registry fee included and the company ready in about a week.

Difference Between SPV and Holding Company

The difference between SPV and holding company structures is scope and time. An SPV is a company formed for one asset or one transaction, often with a lender involved, and it usually ends when the deal ends. A holding company owns several companies or investments over many years and collects their dividends.

Both are usually ordinary limited companies, separated by the job written into their documents. The table sets out special purpose vehicle vs holding company on cost, tax and banking.

Read the purpose row first. One transaction means an SPV, and owning things for years means a holding company. Repeat investors usually use an SPV and a holding company together.

What an SPV Is Built For

An SPV keeps one asset or one transaction apart from everything else you own. If the deal fails, the loss stays inside it, and a lender can enforce by taking over the SPV without reaching your other assets. If it succeeds, you can sell the SPV's shares instead of the asset, which avoids moving titles, contracts and permits. Our guide on what a special purpose vehicle is covers the basic forms.

What a Holding Company Is Built For

A holding company sits above your operating companies and owns their shares. Profits move up as dividends, and it can fund a new venture, buy out a partner or sell one subsidiary without touching the rest. See how a holding company works for the basics.

Form Your SPV or Holding Company With Us

SPV vs holding company is a decision we make with you before anything is filed. Then we form the company and keep the file clean.

  • Structure decided first: SPV, holding company or both, mapped to your deal or group.
  • Right jurisdiction: Jersey, Guernsey, the BVI, Cyprus or Malta, matched to the job.
  • Licensed filing handled: Licensed administrators and agents where the law requires them.
  • One KYC pack: Every owner and investor checked once for the registry and the bank.
  • Formed in about a week: From €1,200 in Cyprus to €1,899 in Guernsey and the BVI.

Special Purpose Vehicle vs Holding Company Tax

The tax gap comes from what each one earns. A pure holding company earns dividends and gains on shares, which Jersey, Guernsey and the BVI tax at 0% and Cyprus and Malta exempt when the tests are met. An SPV may earn rent, interest or trading profit instead. Cyprus taxes that at 15% from 1 January 2026, and Malta at 35% before shareholder refunds. That is also why lenders ask for a new SPV for each financing.

When to Use an SPV or a Holding Company

Use an SPV when the structure exists for one asset, one deal or one group of co-investors. Use a holding company when you own, or plan to own, several companies and want profits and sale proceeds in one place.

When to Use an SPV

When to use an SPV is easy to answer once you can name the single asset it will hold: a property bought with bank finance, a co-investment in one company, an acquisition where the buyer borrows against the target, or a securitisation where noteholders are paid only from the assets inside the vehicle.

When to Use a Holding Company

When to use a holding company comes down to how many businesses you own. With two or more, it moves cash between them as dividends, brings in investors at the top and lets you sell one business alone. An EU parent in Cyprus or Malta also receives dividends from EU subsidiaries with no withholding tax under the Parent-Subsidiary Directive, once it holds at least 10%. Pooling outside money for several deals may need a regulated fund instead, which we quote separately.

Using an SPV Under a Holding Company

An SPV under a holding company is the standard structure for anyone who invests more than once. The holding company owns 100% of each SPV, every deal stays ring-fenced, and profits from each SPV move up to one parent that pays you.

How a Holding Company Owning Several SPVs Works

You own the holding company, and it owns one SPV per asset or deal, each with its own account, lender and books. Sale proceeds and dividends go up to the holding company, which can reinvest them in the next SPV without paying them out first. See building a holding company structure.

Tax Flow From the SPVs to You

A Cyprus holding company pays no corporate tax on dividends from Jersey or BVI SPVs, but special defence contribution can apply where the SPV earns mainly investment income taxed below an effective 7.5%. A Malta holding company exempts dividends from a non-EU participating holding only if the SPV meets one anti-abuse test, such as at least 15% tax abroad. See holding company and subsidiary structures.

SPV vs Holding Company Examples

These SPV vs holding company examples use illustrative amounts, with the real rules and published fees.

A Property Deal Through an SPV

Say three investors buy an office building for €4 million with a €2.4 million bank loan. A Jersey SPV owns only the building, and the lender takes a charge over its shares and the property. Butterfield's Channel Islands fee schedule from 1 June 2026 charges £2,500 to set up a security interest agreement and £500 a year after. On exit, the buyer can buy the SPV's shares. Jersey has no capital gains tax, but the country where the building sits may tax the rent and the sale. See using an SPV for real estate investment.

A Co-Investment With Outside Investors

Say five investors put €500,000 each into one startup through a BVI SPV, which we form in 2 to 5 working days from €1,899. Each holds 20%, above the 10% threshold, so each is filed as a beneficial owner with the BVI Registry within 30 days. A shareholders' agreement sets who decides and how each investor exits. See SPVs for private equity.

A Group of Trading Companies Under One Holding

Say a founder outside the EU owns three EU trading companies paying €900,000 of dividends a year. A Cyprus holding company with at least 10% of each receives them with no withholding under the Parent-Subsidiary Directive, and Cyprus exempts them. Cyprus charges no withholding tax when it pays the founder, apart from payments to EU-blacklisted jurisdictions and, since 2026, to related companies in low-tax jurisdictions. See holding company formation in Cyprus.

SPV vs Holding Company by Jurisdiction

Across our five jurisdictions, Jersey and Guernsey suit both structures and work well for a holding company owning several SPVs. The BVI suits SPVs first. Cyprus suits holding companies with EU subsidiaries. Malta suits holding companies and securitisation SPVs, and costs the most to run.

We judged each one on how the company's income is taxed, tax on dividends and gains it receives, withholding on what it pays out, substance rules, who can see the owners and EU membership. Our price and the time to form differ less, so they come last.

The first three rows decide most cases. Where the structure earns only dividends and gains, all five can reach 0% on that income, so the choice turns on running cost, substance and how EU counterparties see the jurisdiction. Where an SPV earns rent or interest, the 0% islands keep more of it. Where the subsidiaries sit in the EU, an EU holding company protects their dividends by law rather than by treaty, which a Jersey, Guernsey or BVI parent cannot do.

Jersey for SPVs and Holding Companies

Jersey suits both an SPV and a holding company, and is a common home for a holding company owning several SPVs. Most companies pay 0%, financial services companies pay 10% and Jersey property income pays 20%. There is no capital gains tax and no withholding tax on dividends, interest or royalties paid to non-residents. Lenders and deal lawyers know Jersey law, so share security is familiar and quick to document. Our page on Jersey holding company tax benefits covers the tax side.

A Jersey company owned from abroad is administered by a licensed trust company business, so we work with licensed administrators and handle the file. The JFSC charges £205 to incorporate within 5 business days, and the annual confirmation statement costs £339 including the government levy for a company run by a trust company business. We form Jersey companies from €1,499 in about a week. The catch is substance: a pure holding company meets a reduced test, but a Jersey SPV that lends to the group falls in finance and leasing and must meet the full test. Read how to set up an SPV in Jersey or our guide to Jersey holding company setup.

Guernsey for SPVs and Holding Companies

Guernsey also suits both. The standard rate is 0%, with 10% on some regulated financial activities and 20% on Guernsey property income and some local businesses. Dividends a Guernsey company receives from abroad fall under the same 0% rate. There is no capital gains tax and no withholding tax on dividends paid to non-residents. Guernsey's cell companies let one entity hold many ring-fenced cells, which suits a sponsor running several deals through one vehicle, and we quote them separately.

The Guernsey Registry charges £100 for a standard incorporation within 24 hours. Since 1 December 2025, the annual validation fee for a company administered by a licensed corporate service provider is £525. We work with licensed providers and form Guernsey companies from €1,899 in about a week. The catch is the yearly cost, which runs above the BVI once the validation fee and the administrator are added. Pillar Two top-up taxes have applied since 1 January 2025, but only to groups with revenue of €750 million or more. See how to set up an SPV in Guernsey and setting up a Guernsey holding company.

BVI for SPVs and Holding Companies

The BVI suits an SPV first. It is the fastest and cheapest of the five: we form a BVI company in 2 to 5 working days from €1,899, and the Registry fee is US$550 a year for a company authorised to issue up to 50,000 shares, or US$1,350 above that. The BVI charges no tax on income, gains or dividends, and nothing on dividends paid out. One director and one shareholder are enough, and deal lawyers in many countries use BVI SPVs as standard. A restricted purposes company, the BVI's statutory SPV form for structured finance, is quoted separately.

A BVI holding company also works for a simple group owned from outside the EU. The catch is the EU's view. After the update of 9 October 2026, the BVI sits on Annex II of the EU list of non-cooperative jurisdictions, the grey list. It is not on the blacklist, so the extra EU tax measures do not apply, but EU banks and counterparties check it. Every BVI company formed since 2 January 2025 files its beneficial owners, at a 10% threshold, and its register of members with the Registry within 30 days of incorporation. Cyprus for SPVs and Holding Companies

Cyprus suits a holding company more than an SPV. Corporate tax rose to 15% on 1 January 2026. Dividends a Cyprus company receives are generally exempt, and gains on selling shares are exempt, with no minimum stake or holding period, unless the company sold owns Cyprus property. Cyprus charges no withholding tax on dividends to non-residents, except payments to EU-blacklisted jurisdictions and, from 2026, to related companies in low-tax jurisdictions. The 2026 reform also ended the deemed dividend distribution rule for profits earned from 1 January 2026, and abolished stamp duty from the same date.

A Cyprus SPV that earns rent or interest pays 15% on its profit, so the 0% islands usually suit those SPVs better, while a Cyprus holding company over SPVs elsewhere works well for an EU group. From 2026, a company incorporated in Cyprus is resident there unless a treaty says otherwise, so board decisions belong in Cyprus too. We form Cyprus companies from €1,200 in about a week. The catch is the audit: every Cyprus company files audited accounts, with a review allowed only for small companies. See our guide to a Cyprus real estate investment company for a property case.

Malta for SPVs and Holding Companies

Malta suits a holding company and securitisation SPVs. The headline rate is 35%, but shareholders claim refunds of 6/7ths, 5/7ths or 2/3 of the tax depending on the income, which leaves about 5% on trading profit. Dividends and gains from a participating holding are exempt. A stake qualifies through any one test, including at least 5% of the equity shares, the right to appoint a director, or an investment of at least €1,164,000 held for 183 days. Malta withholds no tax on dividends paid to non-residents.

For structured finance, Malta's Securitisation Act, Cap. 484, and its deduction rules let a securitisation vehicle reach tax neutrality, with no withholding tax on payments to non-resident investors. These vehicles are quoted separately. We form Malta companies from €1,299 in about a week. The catch is the running cost: Malta needs a company secretary and an audit, and our partners' secretary and registered address services start from €900 plus VAT a year each. Which Jurisdiction Fits Your SPV or Holding Company

Choose the BVI for a single deal or co-investment SPV that must be formed fast and cheaply, with owners and lenders outside the EU. Choose Jersey or Guernsey for a holding company owning several SPVs, especially lender-backed property deals where the SPVs earn rent or interest. Choose Cyprus for a holding company owning EU subsidiaries, with owners outside the EU. Choose Malta when the holding company has many stakes or the deal is a securitisation. Between the two EU options, Cyprus is cheaper and simpler to run, while Malta's broader holding tests suit larger groups. Mixing is normal: a Jersey holding company can own BVI SPVs, and a Cyprus holding company can own Jersey ones. Check the tax at each layer before you sign, because a dividend that is exempt in one country may be taxed in the next.

For full rankings, read our guides to the best jurisdictions for SPV formation and the best jurisdictions for holding company formation.

How We Form Your SPV or Holding Company

We form an SPV or a holding company in three steps: map the structure and build one KYC file, file through the licensed route, then complete the registers and the bank account. With a complete file, the company is ready in about a week, or 2 to 5 working days in the BVI.

Before You Start

Draw the structure on one page: who owns what today, what the new company will hold, who invests and whether a lender is involved. For the full process, see how to set up an SPV and our global guide on how to set up a holding company.

We Map the Structure and Build the KYC File

We look at what each company will earn and where the owners, subsidiaries and lenders are, which decides the jurisdiction for each layer. We collect the documents once for the registry, the licensed administrator and the bank.

We File and Open the Account

We draft the memorandum and articles with the share classes and investor rights the deal needs. Licensed administrators and registered agents file in Jersey, Guernsey and the BVI, and we file with the registry in Cyprus and Malta. Then we make the beneficial ownership filing and open the account with our banking partner from the same file.

SPV and Holding Company Formation From €1,200

SPV and holding company formation runs through one team, from the structure chart to the open account.

  • Registry fee included: Our from price covers the filing in every jurisdiction.
  • Registers on time: Members and beneficial owners filed within the local deadline.
  • Investor classes set up: Share classes and rights drafted for co-investors.
  • Remote signing: Documents certified where you live, with no trip needed.
  • Year two shown upfront: Running costs quoted before you pay.

Documents Needed for an SPV or Holding Company

An SPV and a holding company need the same core documents, and a holding company file also covers every subsidiary.

  • Passport and proof of address: Certified copies for every director, shareholder and beneficial owner.
  • Ownership chart: Every layer up to the individuals, including co-investors.
  • Source of funds: Where the money for the shares and the asset comes from.
  • Deal or group summary: What the company will hold or own, and from whom.
  • Financing terms: The main loan terms where a lender takes security.

Substance, Tax and Reporting After Setup

An SPV and a holding company share the same reporting rules but not the same substance rules. A pure holding company meets a reduced test in Jersey, Guernsey and the BVI, while an SPV that lends, leases or owns IP meets the full test. Cyprus and Malta rely on tax residence and EU anti-abuse rules.

Economic Substance for SPVs and Holding Companies

The Crown Dependencies guidance treats a company whose only function is to hold controlling stakes as a pure equity holding company. Finance and leasing covers any company that gives credit for a return, including intra-group loans, so a holding company that lends to its SPVs must be directed and managed on the island, with adequate staff, spending and premises. Penalties rise each failed year and can end in strike-off. The BVI law of 2018 uses the same activity list.

CRS 2.0, Owner Registers and Residence

CRS 2.0, the amended Common Reporting Standard, took effect on 1 January 2026 in Guernsey and, through March 2026 amendments, in the BVI, bringing e-money products into reporting. Owner registers are not public in Jersey, Guernsey or the BVI. Cyprus treats a company incorporated there as resident from 2026 unless a treaty says otherwise, so hold board meetings where the company is formed.

Pillar Two and the EU Tax List

The 15% global minimum tax applies only to groups with revenue of €750 million or more. The EU list matters more. After 9 October 2026, Annex I lists American Samoa, Anguilla, Guam, Palau, Russia, the Turks and Caicos Islands, the US Virgin Islands and Vanuatu, and none of our five. Cyprus withholds 17% on dividends to a listed country, and Malta denies the participation exemption on income from one.

Bank Account for an SPV or Holding Company

A bank account for an SPV or holding company takes longer than one for a trading company, because the bank reviews the deal or the whole group. Our banking partner opens accounts for these structures in about a week.

Bank of Cyprus's June 2026 tariff charges €50 a month for an active company incorporated in the EEA and €75 for one incorporated outside it, or €100 and €125 when dormant. A company from outside the EEA pays €300 to apply, plus €20 in any month with four or fewer transactions. HSBC Malta's April 2026 tariff charges €30 a month for a Maltese company, but €175 plus a €100 opening fee for one 50% or more owned by a parent company outside Malta. Butterfield in the Channel Islands sets maintenance fees at its discretion and charges £1,000 a year for a dormant account. A BVI company does not have to bank in the BVI.

Our Banking Partner for SPVs and Holding Companies

Our banking partner for holding companies, SPVs and other complex structures is an e-money institution authorised by the UK Financial Conduct Authority. It opens accounts in about a week, holds EUR, USD, GBP, AED and more than 50 other currencies, and prices each account with your setup. Client money is safeguarded in segregated accounts. It is not a bank, so it does not lend, and safeguarding replaces a deposit guarantee. Read opening a bank account for an SPV and bank accounts for holding companies.

Common SPV and Holding Company Mistakes

These four SPV and holding company mistakes are cheap to avoid at the start and costly to fix later.

Holding Every Deal in One Company

Owners put a second and third property into the company that holds the first, to save on formation. Then one lender asks for security over the shares, and every asset in the company sits behind that loan. A claim or a default on one property can reach the others, and a buyer of one building has to buy all of them or wait for a transfer. A new SPV costs from €1,200 with us, which is small next to any financed deal. Put each financed asset in its own SPV and own the SPVs through a holding company.

Lending Through the Holding Company Without a Plan

A Jersey, Guernsey or BVI holding company that lends to its SPVs for interest is no longer a pure equity holding company. The loans fall in finance and leasing, which needs the full substance test on the island: directed and managed there, with adequate staff, spending and premises. Failing it brings penalties that rise each year and a report to the tax authorities where the parent and the owners live. Plan the lending before the first loan, either by meeting the full test or by lending from a company that can carry it.

Running the Structure From Your Home Country

Founders form the holding company in Cyprus or Malta, then take every decision at home by email. The home country can then argue the company is managed there and tax it as its own. On a €1 million gain from selling an SPV, a 20% home rate would cost €200,000 that the exemption was meant to save. Hold board meetings where the company is resident, with directors who attend, keep signed minutes and add a local director where it helps. The same applies to a Jersey or Guernsey holding company.

Opening the Bank Account Last

Owners form the SPV, sign the purchase and only then apply for an account. A bank review of a new company owned from abroad can take weeks, and the completion date does not move. At Bank of Cyprus, a company from outside the EEA also pays a €300 application fee and from €75 a month, more if the account is quiet. If the money cannot arrive, the deposit or the deal is at risk. Start the account with the formation, from the same KYC file, so the funds arrive on time.

Plan Your SPV and Holding Company Structure

Tell us what the structure must hold, who invests and where you live. We send back the jurisdiction, the setup and the first-year cost.

  • Deal or group reviewed: SPV, holding company or both, decided on your facts.
  • Lender needs checked: Share security, independent directors and covenants.
  • Substance risk flagged: Lending, IP and leasing activities spotted early.
  • Exit planned upfront: Holding periods and share sale routes set from day one.
  • Written next steps: What to send, who signs and when the company is formed.

Bottom Line

The SPV vs holding company decision comes down to scope. Use an SPV for one asset, one deal or one group of co-investors, and a holding company to own several companies for the long term. If you invest more than once, use both: a holding company on top and one SPV under it for each deal.

For SPVs, the BVI is the fastest and cheapest, and Jersey and Guernsey are the strongest for lender-backed and property deals. For a holding company with EU subsidiaries, choose Cyprus, or Malta for a larger group or a securitisation. We form all five from €1,200 to €1,899 in about a week and open the account with our banking partner.
