A special purpose vehicle is a company that holds one asset or one deal and nothing else. Once you know how to set up an SPV properly, a lender can take security over its shares, a buyer can purchase the company instead of the asset, and a problem in one deal stays in that deal. In Jersey, Guernsey, the BVI and the Isle of Man it pays 0% tax.
The hard part is the detail. Each jurisdiction has its own forms, from cell companies to restricted purposes companies and securitisation vehicles. Most need a licensed provider to file, finance SPVs must meet substance rules, and banks are slow with a new company that has no history.
This is where we come in. We form the SPV where your deal fits and handle the rest: the structure, your KYC pack, the constitution, the licensed filing and the account with our banking partner. One team, one written price. You tell us the deal, we get it done.
We form SPVs from €1,499 in Jersey and from €1,899 in the BVI, with the company ready in about a week or less.

Why Set Up an SPV
People set up an SPV to keep one asset or one deal apart from everything else they own. The SPV can be financed, sold or shared with investors on its own, and in a neutral jurisdiction it adds no tax layer of its own. These five reasons are behind most special purpose vehicle formation we handle.
Ring-Fence One Asset or One Deal
An SPV owns one thing: a property, an aircraft, a loan book, a stake in a target company. If that deal goes wrong, the claims stay inside the SPV and do not reach your other assets or your operating company. If it goes well, the gain sits in one clean company with its own books. That separation only holds when the SPV is run as a real company, with its own bank account, contracts and board decisions.
Raise Finance Against the SPV
Lenders like a borrower that holds only the asset they are lending against. They take a charge over the SPV's shares and over its assets, so they can step in without a court fight over a mixed group. SPV company formation in Jersey, Guernsey or the BVI is common for this reason: lenders and their lawyers know the law and the documents.
Set Up an SPV With Us
Setting up an SPV is simple when the deal, the owners and the bank are planned together. This is what we handle for you.
- Jurisdiction matched to the deal: Jersey, Guernsey, BVI, Isle of Man or Malta, chosen with you.
- Licensed filing handled: We work with licensed administrators and registered agents.
- One KYC pack: Every owner, director and investor checked once, used three times.
- Constitution drafted: Purposes, share classes and lender terms built in.
- Ownership filed on time: The first beneficial ownership filing made for you.
- Ready in about a week: Every step run by us once the file is complete.
Sell the Company Instead of the Asset
When the deal ends, the owners can sell the SPV's shares rather than the asset itself. Contracts, permits and financing stay with the company, so the buyer takes over a working package. Some countries do tax the sale of shares in a company that owns local property.
Bring Several Investors Into One Deal
A co-investment or club deal puts each investor's money into one SPV, with shares in proportion to what they paid in. The articles and a shareholders' agreement set who decides what and how everyone exits. Fund managers also hold each investment through its own SPV. Our planned guides on an SPV for private equity and an SPV for venture capital cover those deals.
Neutral Tax in the Right Jurisdiction
An SPV in Jersey, Guernsey, the BVI or the Isle of Man pays 0% on most income, and none of the four withholds tax on dividends paid abroad. The asset is still taxed where it sits, and the owners where they live. The SPV simply adds no extra layer. Malta is the EU option, with a 35% headline rate, shareholder refunds and a dedicated securitisation law.
What an SPV Is and How It Works
When you set up a special purpose vehicle, you form a company for one narrow purpose. It is usually an ordinary limited company with articles that limit what it does, and it is owned by a sponsor, a group of investors or a trust. Our guide on what an SPV company is covers the definition in full.
An SPV Is a Role, Not a Company Type
Most SPVs are ordinary private companies. What makes them special purpose is the job they do and the limits written into their constitution. Some jurisdictions add special forms for special cases: cell companies in Jersey and Guernsey, the restricted purposes company in the BVI and the securitisation vehicle in Malta. If you are weighing a single deal company against a group parent, read our guide on SPV vs holding company. For a UK limited company used as an SPV, see our planned guide to an SPV limited company.
Who Owns and Runs an SPV
A sponsor or group usually owns the SPV directly. In securitisations the shares are often held by a trustee on a charitable or purpose trust, so the SPV sits outside the sponsor's group. Lenders in larger deals ask for an independent director, whose consent is needed for steps such as new debt or insolvency filings.
How to Set Up an SPV Step by Step
To set up an SPV, we agree the structure and jurisdiction with you, build one KYC pack, draft the constitution, file through a licensed administrator or registered agent, obtain any consent the jurisdiction needs, then file the owners and open the account. With a complete file, SPV company formation takes about a week.
Before You Start
Decide four things first. What the SPV will hold or do, because that sets its tax position and substance test. Who owns it, because every owner with 25% or more is checked and filed. How it is financed, because the lender will review the articles. And where the board will meet, because that decides where the company is managed. Form an SPV before the deal is signed, because the buyer or borrower has to exist on the day it signs.
We Agree the Structure and Jurisdiction
We map the deal with you and recommend the form: an ordinary company in most cases, a cell where deals repeat, a BVI restricted purposes company or a Malta securitisation vehicle where investors need fixed purposes. We confirm our price in writing before any filing.
We Build One KYC Pack
We collect certified passports, proofs of address, the ownership chart up to the individuals at the top, the source of funds and any trust documents. The licensed provider, the registry and later the bank all need the same file, so you send it once.
We Draft the Constitution and File
We check and reserve the name, then draft the memorandum and articles around the SPV's single purpose, its share classes and the lender's needs. Our licensed partner files with the registry. In the Isle of Man, only the registered agent named in the memorandum can file a 2006 Act company, and in Jersey an owner abroad works through a licensed provider.
We Obtain Any Consent Needed
Some structures need a regulator's consent first. A Guernsey cell company cannot be incorporated without written consent from the Guernsey Financial Services Commission. In Jersey, a separate consent applies before a company issues debt securities, at a JFSC fee of £1,538. A Malta securitisation cell gives notice to the MFSA before it starts business.
We File the Owners and Open the Account
Once the company exists, we make the first beneficial ownership filing, open the registers and send the account file to our banking partner. The SPV then signs its deal documents with its company, registers and account in place.
Full-Service SPV Company Formation
SPV company formation runs from one team, from the first deal summary to a working account.
- Structure agreed: Owners, directors, purposes and share classes settled upfront.
- Consents handled: Guernsey cell consent, Jersey debt consent or Malta notice.
- Deal-ready documents: Certificate, constitution, registers and board resolutions.
- No travel needed: Documents certified where you live and filed remotely.
- Account file built: The same pack goes to our banking partner.
Comparing Five Jurisdictions for SPV Formation
For most SPV formation, Jersey and the BVI are the strongest picks: Jersey for financing, property and cell structures that lenders in London know, and the BVI for the lowest running cost and the fastest setup. Guernsey suits cell programmes, the Isle of Man suits aircraft and ships, and Malta is the choice when the SPV must sit in the EU.
We compare them on what changes the result for an SPV: tax on the SPV and on what it pays out, the substance rules, who can see the owners, whether it is in the EU, the special SPV forms each one offers, and what it costs to form and keep.
Factor | Jersey | Guernsey | BVI | Isle of Man | Malta |
|---|---|---|---|---|---|
Corporate tax | 0%, 10% financial services, 20% utilities and Jersey property | 0%, 10% listed regulated activities, 20% Guernsey property | 0% | 0%, 10% banking and large retail, 20% land and property | 35%, with refunds to shareholders |

Read the tax rows and the registry fee together. The four island and offshore centres all give the SPV a 0% rate and no withholding on the way out, so the choice between them comes down to the forms, the lender's comfort and the yearly cost. Malta costs more to run but is the only one inside the EU.
Jersey SPV Formation
Jersey suits financing SPVs, property holding vehicles and securitisation issuers, especially where the lender, the trustee or the investors are in London. A Jersey company pays 0% on standard income, with 10% for certain regulated financial services and 20% on Jersey property and utilities. It withholds no tax on dividends, interest or royalties paid abroad.
Since 2006 the Companies (Jersey) Law 1991 has allowed protected cell companies and incorporated cell companies. A protected cell is a ring-fenced part of one company, while an incorporated cell is a company in its own right. The JFSC charges £774 to convert a company to or from a cell company. Our planned guide on how a Jersey incorporated cell company works covers the detail.
The 2026 JFSC fees are fixed: £205 to incorporate within 5 business days, £543 within 1 business day and £856 within 2 hours. The annual confirmation statement costs £339 when a trust company business administers the company, including a £175 government levy, and is due by the end of February. An owner abroad works through a licensed provider, and we arrange that. Jersey SPV company formation with us starts from €1,499 and takes about a week. The catch is the yearly administration cost, which is higher than in the BVI. Read our full guide on how to set up an SPV in Jersey.

Guernsey SPV Formation
Guernsey suits programmes of similar deals, insurance-linked structures and fund vehicles, because it pioneered the protected cell company in 1997 and added the incorporated cell company in 2006. Both now sit in the Companies (Guernsey) Law, 2008, and section 10 says a cell company needs the written consent of the Guernsey Financial Services Commission before it is incorporated.
Tax is 0% on standard income, 10% on a closed list of regulated activities and 20% on Guernsey property income, with no withholding tax on dividends. The Guernsey Registry fees in force since 1 December 2025 are £100 to incorporate within 24 hours, £500 within 2 hours and £1,000 within 15 minutes. A company run by a corporate service provider pays a £525 annual validation. A cell company pays a £785 base fee plus £100 for each protected cell and £250 for each incorporated cell. Our guide to Guernsey protected and incorporated cell companies explains the choice.
Most Guernsey companies need a resident agent, which we arrange through a licensed provider. Guernsey SPV company formation with us starts from €1,899 and takes about a week. The catch is the higher annual validation and, for cells, the extra consent step before filing. See how to set up an SPV in Guernsey.

BVI SPV Formation
The BVI suits acquisition vehicles, co-investment SPVs, joint ventures and single-asset holdings where cost and speed matter most. A BVI business company pays no tax in the islands and withholds nothing on dividends. Most SPVs are ordinary companies, and the Registry charges US$550 to incorporate one authorised to issue up to 50,000 shares, with the same US$550 each year. Above 50,000 shares, both fees are US$1,350.
For structured finance, the BVI Business Companies Act offers the restricted purposes company. Its memorandum must state that it is one and must list its purposes, and its name must end with "(SPV) Limited" or "(SPV) Ltd". It costs US$8,000 to incorporate and US$8,000 a year at the Registry, so we use it only where investors or rating agencies need purposes fixed by law. Segregated portfolio companies also exist, but they need the Financial Services Commission's approval and are used for funds and insurance.
BVI SPV company formation with us starts from €1,899 and takes 2 to 5 working days through a licensed registered agent. The catch is perception: the BVI is on Annex II of the EU list, the list of jurisdictions with open commitments, though not on the Annex I blacklist. A lending or leasing SPV also faces the full substance test. Read our guide to setting up a BVI SPV.

Isle of Man SPV Formation
The Isle of Man suits aircraft, ship and yacht SPVs, because the island runs its own aircraft and ship registries, and leasing income is taxed at the standard 0% rate. Banking and large retail profits are taxed at 10%, and land and property income at 20%.
Most SPVs here are 2006 Act companies. The Companies Registry says only the first registered agent named in the memorandum can file one, and that agent must hold a Class 4 licence from the Financial Services Authority. The company needs one director, who may be a company, appointed within one month, and one member. Registry fees are £100 to incorporate within 48 hours or £250 within 2 hours, and the annual return costs £380 on time, rising to £480 and then £630 when late.
Isle of Man SPV company formation with us starts from €1,499 and takes about a week with our licensed registered agent. The catch is substance: leasing, shipping and financing SPVs face the full test, which usually means island directors and board meetings on the island. See how to set up an SPV in the Isle of Man.

Malta SPV Formation
Malta suits SPVs that need an EU address, an EU lender or EU investors, and securitisation deals that want a dedicated law. A simple Malta SPV is an ordinary limited company. It pays 35%, but shareholders can claim refunds of 6/7ths, 5/7ths or 2/3rds of the tax paid, and dividends and gains from a participating holding can be exempt. Since regulations published on 2 September 2025, a company can instead elect a final 15% rate, locked in for at least five years.
For securitisation, the Securitisation Act (Cap. 484) creates the securitisation vehicle. It needs no licence unless it issues financial instruments to the public on a continuous basis, but it must notify the Malta Financial Services Authority. It is taxed under the normal rules, but the Securitisation Transactions (Deductions) Rules let it deduct its costs and payments to investors, which can bring taxable income close to nil. Payments to non-resident investors carry no withholding tax.
The Securitisation Cell Companies Regulations, 2014 add the securitisation cell company. Its name must include "Securitisation Cell Company" or "SCC", its cells are not separate legal persons, and it cannot start business in a cell before notifying the MFSA. Malta SPV company formation with us starts from €1,299 and takes about a week. The catch is the running cost and the audit every Malta company files. Read how to establish an SPV in Malta.

Which Jurisdiction Fits Your SPV
Choose Jersey if a London lender, a trustee structure or a note issue is involved. Choose the BVI for a simple acquisition, co-investment or holding SPV at the lowest yearly cost. Choose Guernsey for a programme of repeated deals in cells. Choose the Isle of Man for an aircraft, ship or yacht. Choose Malta when the SPV must be in the EU. For the full ranking, read our planned guide to the best jurisdictions for SPV formation, and for property deals, our planned guide on using an SPV for real estate investment.
Documents Needed to Set Up an SPV
To set up an SPV, every jurisdiction asks for the same core file: identity and address for each person involved, the ownership chart, the source of funds and a short summary of the deal. We collect it once and use it for the registry, the licensed provider and the bank.
- Passport and proof of address: Certified copies for each director, shareholder and beneficial owner.
- Ownership chart: Every company and trust up to the individuals at the top.
- Source of funds: Where the money going into the SPV comes from.
- Deal summary: What the SPV will hold or buy, from whom and how it is financed.
- Corporate owners: Certificate of incorporation, registers and constitution of each company owner.
- Trust documents: The trust deed and the trustee's details where a trust owns the shares.
- Lender terms: The main loan terms, if a lender will take security.
Our list of documents you need to set up a company covers the core items for any company.
Cost to Set Up an SPV in 2026
The cost to set up an SPV with us starts from €1,299 in Malta, €1,499 in Jersey and the Isle of Man, and €1,899 in Guernsey and the BVI. A realistic first year runs from about €3,500 in the BVI to €14,000 for a Jersey vehicle with full administration.
Our SPV incorporation price covers the structure advice, the KYC pack, the memorandum and articles, the registry filing fee, the licensed administrator or registered agent and the registered office at formation, and the first ownership filing. Trusts, foundations, cell companies, restricted purposes companies and regulated structures are quoted separately.

SPV Requirements After Setup
SPV requirements after setup are simple to list: meet the substance rules where it is formed, report the owners, file the yearly returns and expect the bank to report the account under CRS. Large groups also face the 15% minimum tax. None of this is hard when it is planned with the structure.
Economic Substance Rules
Jersey, Guernsey and the Isle of Man have applied economic substance rules since accounting periods starting on or after 1 January 2019, and the BVI under its Economic Substance (Companies and Limited Partnerships) Act, 2018. The test depends on the activity. An SPV that only holds shares meets a reduced test. One that lends, leases or holds IP must show its core activities and its board decisions in the jurisdiction, with a quorum of directors present at meetings held there. In the BVI, a first failure costs at least US$5,000 and up to US$20,000, and later failures up to US$200,000. Read about BVI economic substance for holding companies.
CRS and CARF From 2026
The amended Common Reporting Standard and the Crypto-Asset Reporting Framework apply from 1 January 2026. Jersey adopted both on 12 December 2025, with first returns due by 30 June 2027. The SPV's account provider reports its owners, so the ownership file must match the registry.
Beneficial Ownership Registers
All five jurisdictions hold the owners on a central register that the public cannot search freely. Jersey files them with the JFSC under its 2020 disclosure law and confirms them each February. The BVI announced on 23 June 2025 that people with a legitimate anti-money laundering purpose can apply for access to owners with 25% or more. Malta restricted public access after the EU Court of Justice ruling of 22 November 2022.
Pillar Two Only for Large Groups
The 15% global minimum tax applies only to groups with consolidated revenue of €750 million or more in two of the last four years. Guernsey has applied its domestic top-up tax since 1 January 2025. For a founder or a fund under that size, the 0% rate on the SPV still applies in full.
The EU List and Payments From EU Companies
On 9 October 2026 the EU Council kept eight jurisdictions on its Annex I list of non-cooperative jurisdictions: American Samoa, Anguilla, Guam, Palau, Russia, the Turks and Caicos Islands, the US Virgin Islands and Vanuatu. None of our five is on it. The BVI is on Annex II, which carries no defensive measures. EU payers can face extra withholding and denied deductions on payments to Annex I entities.
Bank Account for an SPV
An SPV needs its own account from day one, because a separate account is part of what keeps it separate. Island banks are slow with a new company that has no history and often decline structures owned from abroad. Our banking partner for complex structures opens the account in about a week as part of your SPV setup.
Local and Private Banks for SPVs
NatWest International and Isle of Man Bank both say every owner, director and shareholder of a business account holder must live in the Channel Islands, the Isle of Man or Gibraltar, with a single layer of ownership and no nominee shareholders. That rules out most SPVs owned from abroad or through a trust. Private banks in Jersey and Guernsey take SPVs inside a large relationship, priced case by case. In Malta, EU deposits are protected up to €100,000 per depositor, but banks review a new SPV with foreign owners closely and can take weeks. Read how to open a bank account for an SPV.
Our Banking Partner for SPVs and Complex Structures
Our banking partner for holding companies, SPVs and other complex structures is regulated by the UK Financial Conduct Authority. It opens multi-currency accounts in about a week, in EUR, USD, GBP, AED and more than 50 other currencies, and the price is quoted with your setup. It is a regulated payment and e-money institution, not a bank: it does not lend, and client money is safeguarded in segregated accounts rather than covered by a deposit guarantee. We build the account file from the formation pack.

Common Mistakes When Setting Up an SPV
Most problems when setting up a special purpose vehicle start early and show up at closing or at the first filing. These four are the ones we see most often, and each is cheap to avoid.
Forming an SPV After the Deal Is Agreed
Buyers often sign heads of terms, then try to form the SPV, open the account and get lender approval in the last two weeks. The SPV has to exist before it signs, and a bank account for a new structure can take longer than the company itself. A missed completion date can cost a deposit or a price change. Start setting up an SPV as soon as the deal is likely, so the company, consents and account are ready before signing.
Paying for a Special Form You Do Not Need
Some sponsors ask for a BVI restricted purposes company because it sounds like the proper SPV form. It costs US$8,000 at the Registry to incorporate and US$8,000 a year, against US$550 for an ordinary company. Over five years that is US$37,500 more in Registry fees alone. Use the restricted form only where investors or rating agencies need purposes fixed by law. The same applies to cells: for one deal, a single company is cheaper.
Running a Financing SPV Without Substance
A lending or leasing SPV is a finance and leasing business under the substance rules, not a holding company. Founders form it, then make every decision by email from home. In the BVI, a first failure costs up to US$20,000, information goes to foreign tax authorities, and repeated failure can lead to strike-off. Plan island directors and board meetings from the start, or use a pure holding structure where it fits.
Letting a Finished SPV Lapse
When the deal ends, owners stop paying attention, and the filings stop. In Jersey, a late annual confirmation adds a charge from £77 that keeps rising each month, and in the Isle of Man the annual return rises from £380 to £630. Either keep the SPV filing until it is needed again, or close it properly through the registry.
Tell Us About Your SPV Setup
Planning a deal? Send us what the SPV will hold, who is investing and where the lender is, and we get back to you with a plan.
- Right form chosen: Ordinary company, cell, restricted purposes or securitisation vehicle.
- Substance planned: Directors and meetings matched to what the SPV does.
- Timeline set: Company, consents and account ready before signing.
- Costs in writing: Formation and year-one running costs in one quote.
- Lender needs covered: Share charges and independent directors built in.
Bottom Line
How to set up an SPV comes down to three choices: the jurisdiction, the form and the bank. An ordinary company is enough for most deals. Cells, restricted purposes companies and securitisation vehicles are for programmes and structured finance. Plan substance and the account before the deal is signed.
For most sponsors, we recommend Jersey for financing and property deals with a London lender, and the BVI for simple acquisition and co-investment vehicles at the lowest yearly cost. Use Guernsey for cells, the Isle of Man for aircraft and ships, and Malta when the SPV must be in the EU. We form your SPV from €1,299 to €1,899 in about a week and open the account with our banking partner.
