Offshore company formation gives you one company in a tax-neutral jurisdiction that can hold shares, investments, property and contracts across several countries. In the BVI, Jersey, Guernsey and the Isle of Man, a standard company pays 0% tax and no tax is withheld on dividends paid to owners abroad. A UAE offshore company pays 0% on its first AED 375,000 of taxable income.
The hard part is everything around the filing. You have to pick the jurisdiction that fits the job, and most of them accept filings only from a licensed agent. Substance rules and CRS reporting apply from day one, and banks review offshore companies slowly, so many founders end up with a company and no account.
This is where we come in. We form the company ourselves and work with the licensed agents each jurisdiction requires. We handle the jurisdiction choice, the KYC file, the filing, the owner registers and the bank account with our partner. One team and one price, ready in about a week.
We form offshore companies in the BVI from €1,899 and in Jersey from €1,499, usually in about a week, with the licensed agent filing handled for you.

Why Founders Set Up an Offshore Company
Founders set up an offshore company to hold assets, investments and other companies in one tax-neutral place that is simple to run and easy to sell. Done properly, it is a legal structure, reported to tax authorities under CRS and accepted by banks, buyers and investors.
Tax-Neutral Holding of Shares and Investments
In the BVI, Jersey, Guernsey and the Isle of Man, a standard company pays 0% corporate tax, none of the four withholds tax on dividends paid to owners abroad, and none taxes capital gains. Profit already taxed where it was earned is not taxed again in the holding layer. You still pay tax where you live when the money reaches you, and your home country may have controlled foreign company rules, so we plan the offshore company setup with that in mind. Our guide to using an offshore company for tax planning covers the legal limits.
One Company for Assets in Several Countries
An offshore company can own shares in operating companies, an investment portfolio, property, intellectual property or a yacht, all under one parent. Investors and lenders deal with one company and one set of documents. A claim against one asset stays with the company that owns it, and new assets can be added without setting up a new structure each time.
Set Up an Offshore Company With Us
Offshore company formation is simple when one team runs the whole setup. This is what we handle for you.
- Jurisdiction chosen with you: BVI, Jersey, Guernsey, Isle of Man or UAE, based on the job.
- Licensed agent filing: We work with the licensed agents and administrators each place requires.
- One KYC file: Passports, addresses and source of funds collected once for agent and bank.
- Owner registers filed: Beneficial ownership filings made on time from day one.
- Substance planned upfront: Board, records and activity set to meet local rules.
- Formed in about a week: From €1,499 in Jersey and the Isle of Man, €1,899 elsewhere.
Simple Rules and Flexible Share Classes
Most offshore jurisdictions accept one director and one shareholder, of any nationality and living anywhere. A private BVI or Jersey company needs no audit unless it is regulated. Share classes for founders, investors and family members are easy to set up, and BVI and Jersey companies pay dividends on a solvency test rather than only from profits.
A Clean Exit by Selling Shares
When you sell, the buyer can take the shares of the offshore company instead of each asset underneath it. Contracts, permits and financing usually stay in place, and buyers and their lawyers know these company laws well. The country where the assets sit may still tax the sale, so we check that before forming an offshore company for an asset.

Types of Offshore Company and What They Do
The main types of offshore company are holding companies, investment and asset holding companies, international trading companies and special purpose vehicles. Each is usually a standard limited company with a different job. Trusts, foundations, cell companies and regulated structures are separate vehicles that we quote separately.
Holding Companies
A holding company owns shares in other companies. Dividends flow up to it, it can fund new ventures from past profits, and it can sell one subsidiary without touching the rest. In all four island jurisdictions, a company that only holds shares meets a lighter substance test than one that trades.
Investment and Asset Holding Companies
These own a portfolio, a property, a yacht or a stake in a fund. They keep the asset apart from your personal estate and make it easy to pass on or sell. The country where a property sits keeps its own taxes and registers, whatever the owner's jurisdiction.
Trading Companies and SPVs
An offshore trading company buys and sells across borders and invoices from the offshore jurisdiction. It needs the most care, because trading income is where substance rules and home country tax rules bite first. A special purpose vehicle holds one asset or one deal, often with a lender involved.
Offshore structures are legal when they are reported and run properly. Our guides on whether an offshore company is legal and the difference between offshore and onshore companies cover the background.
How to Set Up an Offshore Company
How to set up an offshore company comes down to six steps: we agree the job the company will do, choose the jurisdiction and company type, build one KYC file, file through the licensed agent, register the owners and open the bank account. With a complete file, offshore company formation takes about a week, and the BVI often takes 2 to 5 working days.
Before You Start Setting Up an Offshore Company
Write down what the company will own or do, where its income comes from, who the owners are and where each of them is tax resident. Decide who will sit on the board. Check whether your home country taxes the income of companies you control abroad. These answers decide the jurisdiction, the substance plan and the bank, so we settle them first. Our guide to setting up a company as a non-resident covers the residence questions.
We Choose the Jurisdiction and Company Type
We match the job to the place. A pure holding company points to the BVI or Jersey, a structure that needs a long regulatory track record points to Jersey or Guernsey, and Gulf assets or partners point to the UAE. We also pick the form: a BVI business company, a Jersey or Guernsey company, an Isle of Man 2006 Act company or LLC, or a RAK ICC or JAFZA offshore company.
We Build One KYC File
The licensed agent must identify every director, shareholder and beneficial owner before filing. We collect certified passports, proof of address, a short CV, source of funds and source of wealth once, and use the same file for the agent and the bank. A complete file is the main reason an offshore company registration takes days rather than weeks.
We File Through the Licensed Agent
In the BVI, only the proposed registered agent can file the application. In Guernsey, only a corporate service provider with a full fiduciary licence can incorporate a company, and an Isle of Man 2006 Act company is filed by a licensed registered agent. We draft the constitution, reserve the name and file it, with the registry fee included in our price.
We Register the Owners and Plan Substance
Once the company exists, we make the first beneficial ownership filing. A new BVI company files within 30 days of incorporation. We then set the board, the records and the bank mandate so the company meets the substance rules for its activity, and we open the account with our banking partner.
Full-Service Offshore Company Incorporation
We incorporate your offshore company from wherever you live, with every local step handled.
- No travel needed: Documents certified and signed in your own country.
- Constitution drafted: Share classes, powers and investor rights set for your structure.
- Registry fee included: The government filing fee is part of our price.
- Registered office in year one: Provided through the licensed agent at formation.
- Bank file ready: The same KYC pack goes to our banking partner.
- Clear scope in writing: What is included and what year two costs.
Offshore Company Formation by Jurisdiction
For most founders, the BVI is the most widely used and fastest place for offshore company formation. Jersey and Guernsey suit structures that need a long regulatory record, the Isle of Man suits holding and trading at a lower yearly fee, and the UAE suits founders with business, property or partners in the Gulf.
The table sets the five side by side on what matters once the company is running: tax on income and dividends, tax on the way out to you, the substance rules, who sees the owner register, time to form and our price. Every one of them is outside the EU, each accepts owners and directors from anywhere, and each is reported under CRS.

Read the tax rows first: for a company that holds shares and investments, all five reach roughly the same result, with no tax in the company and none withheld on the way out. The real differences are the running rules, the reputation with banks and buyers, and the yearly cost. Those decide which offshore company setup fits you. Time and price are close as well: our prices run from €1,499 to €1,899, and every one is formed in about a week, with the BVI often faster.
The BVI for an Offshore Company
The BVI suits holding companies, investment vehicles and SPVs that need to be formed fast and understood by lawyers and banks worldwide. A BVI business company pays no tax on income, gains or dividends, needs one director and one shareholder, and needs no audit unless it is regulated. A company that only holds shares meets the reduced substance test. The register of members is filed privately with the Registry, beneficial owners are filed within 30 days, and the yearly financial return goes to the registered agent rather than to a public register. Share classes, share charges for lenders and moving a company into or out of the BVI are routine. The Registry charges US$550 to incorporate and US$550 a year for up to 50,000 authorised shares, or US$1,350 above that. We form an offshore company in the BVI from €1,899, usually in 2 to 5 working days. The catch is the EU grey list: the BVI sits on Annex II and has committed to a new Global Forum review by 15 February 2027, so some European banks ask more questions. See our guide to BVI offshore company formation.

Jersey for an Offshore Company
Jersey suits holding companies, property and investment structures and family wealth that need a well-regulated name. A standard company pays 0%, Jersey levies no withholding tax on dividends paid to non-residents and no capital gains tax, and a private company needs no audit unless it is regulated. Dividends received by a standard company are taxed at 0%, so a Jersey holding company passes profit up to you with no Jersey tax on the way. The JFSC receives the owners' details with the consent to issue shares, so the regulator has checked who owns the company before any shares exist, which banks and investors find reassuring. A company with no local presence uses a licensed administrator for its office and records. The annual confirmation statement costs about £220 to £340, including the government levy. Offshore company incorporation in Jersey starts from €1,499 with us, in about a week. The catch is the higher running cost of the administrator. Guernsey for an Offshore Company
Guernsey suits the same holding and investment work as Jersey, plus cell companies for funds and insurance. A standard company pays 0%, with no withholding tax on dividends to non-residents and no capital gains tax. Only a corporate service provider with a full fiduciary licence can incorporate a company, and a company with no Guernsey-resident director keeps a licensed resident agent. Dividends paid by a standard company are treated as coming from income taxed at 0%, so owners outside Guernsey pay no Guernsey tax on them. The Registry charges £100 for a standard incorporation within 24 hours or £500 within 2 hours. Protected and incorporated cell companies pay a higher annual validation fee of £785 plus a charge per cell, which is why we quote them separately. The annual validation fee for a company run by a service provider is £525. We incorporate an offshore company in Guernsey from €1,899 in about a week. The catch is the audit: it applies unless at least 90% of members agree to waive it each year. The Isle of Man for an Offshore Company
The Isle of Man suits holding companies and international trading that want a low yearly fee and a stable, well-regulated home. Most income is taxed at 0%, Manx property income at 20%, and there is no capital gains tax or withholding on dividends. A 2006 Act company needs one director, which can be a regulated company, and a licensed registered agent, with no company secretary. The older 1931 Act company needs two individual directors and a company secretary, and suits owners who want a board on the island. The Registry charges £100 to incorporate within 48 hours and £380 for each annual return, or £95 for an LLC. Offshore company setup in the Isle of Man starts from €1,499 with us, in about a week. The catch is the nominated officer: every company needs one, either an island resident or a holder of a corporate services licence, and a change of officer is filed with the Registry within 21 days. UAE Offshore Through RAK ICC or JAFZA
A UAE offshore company suits founders who hold Gulf assets, own UAE property or want a parent for a UAE operating company. RAK ICC and JAFZA are the two main offshore registries. Both allow 100% foreign ownership, and both require a registered agent at all times. An offshore company cannot trade with customers inside the UAE, so it holds, invests and trades abroad. It is within UAE corporate tax: it registers, pays 0% on taxable income up to AED 375,000 and 9% above, and receives qualifying dividends tax-free with a 5% stake held 12 months. It keeps accounts and files its corporate tax return each year. JAFZA offshore companies can own property in Dubai's designated freehold areas, which is the main reason property buyers choose them. Since 2025 the EU no longer lists the UAE as a high-risk country for money laundering, which makes payments from European banks easier. The UAE ended economic substance reporting for financial years ending after 31 December 2022. UAE offshore company incorporation with us starts from €1,899, in about a week. Which Jurisdiction Fits Your Offshore Company Setup
Choose the BVI for a pure holding company, an SPV or an investment vehicle that must be ready in days. Choose Jersey for property, family wealth or a structure that institutional investors will review. Choose Guernsey for the same work, or when you need a cell company. Choose the Isle of Man for a holding or trading company with a low yearly fee. Choose the UAE when your business, property or partners are in the Gulf. Of the four islands, an Isle of Man LLC has the lowest yearly Registry fee at £95, against US$550 in the BVI. If you plan to sell within a few years, pick a place your buyer's lawyers already know, which usually means the BVI or Jersey. If European banks or payers will deal with the company every month, Jersey, Guernsey or the Isle of Man avoid the questions the BVI's Annex II listing can raise. For a full ranking, read our guide to the best offshore company jurisdictions, and for group parents, the best offshore jurisdictions for a holding company.
Documents Needed for Offshore Company Registration
Offshore company registration needs the same core file in every jurisdiction: identity and address for each director, shareholder and beneficial owner, proof of where the money comes from, and a short description of what the company will do. Corporate owners add their own company documents and ownership chart.
- Passport: A certified copy for every director, shareholder and beneficial owner.
- Proof of address: A utility bill or bank statement from the last 3 months.
- Source of funds: Where the money for the company comes from, with evidence.
- Source of wealth: How each owner built their wealth, in a short statement.
- CV or profile: Background of each director and main owner.
- Business description: What the company will own or do, and with whom.
- Corporate owners: Certificate, constitution, registers and an ownership chart.
To register an offshore company, certified copies can be made by a lawyer, notary or accountant where you live. Some agents also ask for a bank reference. The bank asks for most of the same papers, so we build one file for both. Our list of documents needed to open a business bank account shows what the bank adds.
Our Prices for Offshore Company Formation
Offshore company formation with us starts from €1,499 in Jersey and the Isle of Man and €1,899 in the BVI, Guernsey and the UAE. The price covers the structure advice, the KYC pack, the constitution, the registry filing fee, the licensed agent and registered office at formation and the first ownership filing.
Trusts, foundations, cell companies, restricted purposes companies and regulated structures are quoted separately. Year two brings the government fee, the agent or administrator renewal and any accounting the company needs. The full breakdown is in our guide to offshore company formation costs.
Cost item | When it is paid | Typical amount | What it covers |
|---|---|---|---|
Offshore company formation with us | Once, before filing | From €1,499 to €1,899 | Advice, KYC, constitution, registry fee, agent and office at formation |
BVI yearly Registry fee | Every year | US$550, or US$1,350 above 50,000 shares | Keeping the company in good standing |
Jersey annual confirmation | Every year | About £220 to £340 with the levy | Annual statement to the JFSC |
Guernsey annual validation | Every January | £525 for a company run by a service provider | Annual filing with the Registry |
Isle of Man annual return | Every year | £380, or £95 for an LLC | Annual filing with the Registry |
UAE offshore renewal | Every year | Quoted with your setup | Registry renewal through the agent |
Agent, office and administration | From year two | Quoted with your setup | Registered agent, office, records |
Business account | Monthly | Quoted with your setup | Multi-currency account with our partner |
The government fees are small. What moves the yearly cost is the administration: a Jersey or Guernsey company with a licensed administrator costs more to run than a BVI or Isle of Man company with a simple registered agent. We give you year two in writing with the formation quote.
First-Year Cost by Jurisdiction
In year one you pay our formation price, which already includes the registry fee and the agent at formation, plus the business account. A BVI company starts from €1,899, a Jersey company from €1,499, a Guernsey company from €1,899, an Isle of Man company from €1,499 and a UAE offshore company from €1,899. Accounting is only needed where the company files accounts or an audit applies, as in Guernsey unless the members waive it. See what a BVI company costs and what an Isle of Man company costs for the detail.
Offshore Company Requirements After Setup
After offshore company setup, the company must meet the substance rules for its activity, keep its owner register current, file its yearly return and expect its accounts to be reported under CRS. None of this is heavy for a holding company, but each rule has a deadline and a fine, so we put the calendar in place at formation.
Economic Substance in the BVI and Crown Dependencies
The BVI, Jersey, Guernsey and the Isle of Man have had economic substance laws since 1 January 2019. They apply to companies with income from listed activities: banking, insurance, shipping, fund management, finance and leasing, headquarters, distribution and service centres, holding companies and intellectual property. Such a company must be directed and managed on the island, with adequate people, premises and spending there, and do its core income-generating work there. A pure equity holding company meets a reduced test. Failure brings rising fines, a report to the owners' tax authorities and, in the end, strike-off. Read about BVI economic substance for holding companies.
UAE Corporate Tax Replaces Substance Reporting
Cabinet Decision No. 98 of 2024 ended UAE economic substance reporting for financial years ending after 31 December 2022, as the Ministry of Finance announced on 14 October 2024. An offshore company now registers for corporate tax and files a return instead. See our pages on economic substance in the UAE and UAE corporate tax.
CRS and CRS 2.0 Reporting From 2026
All five jurisdictions report under the OECD Common Reporting Standard. Banks and payment institutions report the accounts of an offshore company, and of its owners where it is a passive company, to the owners' home tax authorities. The updated standard, CRS 2.0, applies from 1 January 2026 in the BVI, Guernsey, Jersey and the Isle of Man, and adds e-money accounts and crypto assets. The UAE plans its first CRS 2.0 exchanges in 2028, covering 2027. Plan on your tax authority seeing the account.
Beneficial Ownership Registers
Every one of the five keeps a private register of the people who own or control the company. The BVI uses a 10% threshold and requires a new company to file within 30 days. The Isle of Man uses 25% and needs a nominated officer. None of the registers is public, but authorities can search them and regulated firms can use some of them for customer checks.
Pillar Two and the EU Tax List
The 15% global minimum tax applies only to groups with revenue of €750 million or more, so it does not touch most founder structures, even though Jersey, Guernsey and the UAE introduced their versions from 1 January 2025. The EU list matters more. After its 9 October 2026 review, Annex I names 8 jurisdictions, none of them ours, and the BVI sits on the Annex II watch list. Payments from EU companies to listed jurisdictions face extra tax measures, which is why the BVI's status is worth tracking.
Bank Account for an Offshore Company
An offshore company needs an account to receive dividends, hold investments and pay its owners. Local and private banks take offshore companies but review the whole structure and charge more for it. Our banking partner for complex structures opens multi-currency accounts in about a week, with a file we build during formation.
Banks in the islands publish their extra charges. Butterfield's Channel Islands fee schedule from 1 June 2026 adds £2,500 a year for an account it rates as high risk and £4,500 for one linked to a politically exposed person, and charges £25 to £37 for an online SWIFT payment. Standard Chartered's Jersey private bank schedule from July 2026 charges US$750 a quarter where average assets fall below US$2 million. Onboarding a structure owned from abroad usually takes several weeks.
In the UAE, FAB's Business Call Account asks for a minimum balance of AED 10,000 and is open to non-residents. ADCB's Islamic business accounts, in its April 2026 key facts, ask for AED 10,000 to AED 100,000 on average and charge AED 150 to AED 300 a month below that. Read more in our guides on offshore bank accounts in Jersey and offshore business bank accounts in the UAE.
Our Banking Partner for Offshore Structures
Our banking partner for holding companies, SPVs and other complex structures is an e-money institution authorised by the UK Financial Conduct Authority. It opens accounts for offshore companies in about a week, holds euros, dollars, sterling, dirhams and more than 50 other currencies, and prices the account on your structure, quoted with your setup. It is not a bank: it does not lend, and client money is safeguarded rather than covered by a deposit guarantee. Our guide to bank accounts and EMI accounts explains the difference.

Common Mistakes When Setting Up an Offshore Company
Most problems with an offshore company setup show up a year later, at the bank or at the tax office. These four come up most often, and each is cheap to avoid before formation.
Forming the Company Before Planning the Bank
Founders form an offshore company first and look for an account afterwards. A bank then asks for a structure chart, source of wealth and a business plan that nobody prepared, and the company sits unbanked for months while still paying its yearly fees. Over a year, that can be US$550 in BVI fees plus agent fees for a company that cannot do anything. Build the bank file during formation, so the account opens in about a week after the company exists.
Running the Company From Your Home Country
Owners form the company offshore, then make every decision from home by email. The home country can then argue the company is managed there and tax all its profit at the local rate. On €500,000 of gains, a 25% home rate costs €125,000 that the structure was meant to save. Hold the board's decisions where the company is formed, keep signed minutes and add a local director where the activity needs one.
Assuming No One Will See the Account
Some founders still expect offshore accounts to stay private. Under CRS, the bank or payment institution reports the account to the owners' tax authorities every year, and CRS 2.0 adds e-money accounts from 2026. Undeclared income then turns into back tax, interest and penalties at home. Declare the structure in your own tax return from the first year and keep the paperwork that shows why it exists.
Letting the Yearly Filings Lapse
A quiet holding company is easy to forget. Late filings cost money quickly: an Isle of Man annual return rises from £380 to £630 when it is more than 3 months late, and a BVI company that stops paying is struck off. If the company has finished its job, close it properly instead. Our guide on how to close an offshore company explains the steps.
Tell Us About Your Offshore Structure
Send us what the company will hold or do, and we come back with the jurisdiction, the setup and the price.
- Structure reviewed: Owners, assets and activity checked against local rules.
- Home tax flagged: Controlled foreign company and residence points raised early.
- Substance plan: What the board and records need for your activity.
- Written recommendation: Jurisdiction, company type and year-two cost in one note.
- One route to the bank: Account planned with our partner from the start.
Bottom Line on Offshore Company Formation
Offshore company formation gives you a tax-neutral company that holds shares, investments and property in one place and is easy to sell. It works when the jurisdiction fits the job, the substance rules are met, the owners are registered and the account is reported under CRS.
We form offshore companies from €1,499 in Jersey and the Isle of Man and from €1,899 in the BVI, Guernsey and the UAE, in about a week. For most holding companies and SPVs, the BVI is our pick. Choose Jersey or Guernsey when the structure needs a long regulatory record, and the UAE when your business is in the Gulf.
