How to Set Up a Holding Company in 2026

How to Set Up a Holding Company in 2026

If you know how to set up a holding company in the right place, your group gets one owner at the top that holds the shares of every operating company. Dividends from subsidiaries can arrive tax free, a subsidiary can be sold with no tax on the gain, and profits can reach you with no withholding tax.

The hard part is the choice and the rules that come with it. Cyprus, Malta, the BVI, Jersey and the UAE each treat dividends, gains and payments out differently. Substance laws decide where the board must sit, and banks review every company and owner in the chain before they open an account.

This is where we come in. We form the holding company ourselves in the jurisdiction that fits your group and handle the rest: the structure, the KYC pack, the registry filing, the substance plan and the bank account with our partner. One team runs it, and your holding company is ready in about a week.

We form holding companies in five jurisdictions, from €1,200 in Cyprus to €1,899 in the BVI and the UAE, most of them in about a week.

What You Gain When You Set Up a Holding Company

When you set up a holding company, profits and sale proceeds can move up your group with little or no tax, each business stays legally apart from the others, and investors or heirs deal with one company. The result depends on the jurisdiction.

Tax-Free Dividends From Your Subsidiaries

Cyprus exempts the dividends a holding company receives from corporate tax, Malta exempts dividends from a participating holding, and the UAE exempts dividends from UAE companies and from foreign companies that pass its participation tests. The BVI and Jersey charge 0% on a holding company's income. Our guide to using a holding company for tax efficiency covers the detail.

Selling a Subsidiary With No Tax on the Gain

Cyprus exempts gains on shares unless the company sold owns property in Cyprus. Malta exempts gains on a participating holding. The UAE exempts gains that pass the same tests as dividends: at least 5% held for 12 months in a company taxed at 9% or more. The BVI and Jersey have no capital gains tax.

Form a Holding Company With Us

Holding company formation is simple when one team plans the structure and runs every filing.

  • Jurisdiction chosen with you: Cyprus, Malta, the BVI, Jersey or the UAE, based on your group.
  • One KYC pack: The same file for the registry, the agent and the bank.
  • Licensed filing covered: Registered agents and administrators where the law requires them.
  • Board planned for substance: Directors and meetings set before the company exists.
  • Owners filed on time: The first beneficial ownership filing made for you.
  • Formed in about a week: Every step run by us once the file is complete.

Protection Between Your Businesses

Each operating company stays a separate legal person. A claim or a debt in one subsidiary stays in that company and does not reach the others or the cash held at the top. Lenders can also take the shares of one subsidiary as security without touching the rest.

One Owner for Investors and Family

A holding company gives you one place to bring in an investor, add a partner or pass the group to the next generation, by transferring shares in one company instead of in every business. Our guide on why founders set up a holding company lists more reasons, and our page on the family holding company covers succession.

Types of Holding Company and How They Work

A holding company owns shares in other companies and usually does little else. The main types of holding company are the pure holding company, the mixed holding company that also lends, licenses or trades, and the intermediate holding company inside a larger group. The type decides your tax and substance rules. Our guide on what a holding company is covers the basics.

Pure Holding Company

A pure holding company only holds shares and receives dividends and gains, with no customers and no staff beyond its board. Of all the types of holding companies, it is the one most tax rules favour, and in the BVI it meets a lighter substance test. Our guide to the holding company structure shows how a group is built around one.

Mixed Holding Company

A mixed holding company also lends to its subsidiaries, licenses IP, charges management fees or trades. That income is taxed normally, for example at 15% in Cyprus or 9% above AED 375,000 in the UAE, and in the BVI or Jersey it can bring the full substance test. Our page on the holding company vs operating company explains the split.

Intermediate and Investment Holding Companies

An intermediate holding company sits inside a larger group, often for one region, while an investment holding company holds minority stakes, funds or property. Minority stakes can miss participation tests: the UAE needs 5% or a cost of AED 4 million, and Malta needs 5% or another test, such as €1,164,000 held for 183 days. For a single asset or deal, see our guide to the SPV vs holding company.

How to Set Up a Holding Company Step by Step

To set up a holding company, we run five steps with you: map the group, choose the jurisdiction, build one KYC file, form the company and appoint the board, then move your shares under it and open the account. With a complete file, the holding company is formed in about a week, and in 2 to 5 working days in the BVI.

Before You Start Your Holding Company Setup

Draw a chart of every company you own: where each one is resident, what it earns and who owns the top. Note whether you plan to sell, bring in investors or pass shares to family, and check how your home country taxes the dividends you receive. If you live abroad, our guide on setting up a company as a non-resident covers the general rules.

We Choose the Jurisdiction With You

We test your group against the rules that matter: where the subsidiaries are, how their dividends are taxed on the way out, who will own the holding company and where you live. EU subsidiaries usually point to Cyprus or Malta, companies outside the EU owned by founders abroad often point to the BVI, and a founder living in the UAE points to a UAE holding company.

We Build One KYC File

We collect one file for the registry, the agent and the bank: certified passports and proof of address for every director and owner, the group chart, and proof of where the money and the shares came from. One complete file avoids rounds of questions later.

We Form the Company and Appoint the Board

We draft the constitution with holding powers and file. In Cyprus, a lawyer licensed by the Cyprus Bar signs the documents. In the BVI and Jersey the law says a licensed agent or administrator files, so we work with them and handle everything. In the UAE we file with the free zone authority or the mainland registry.

We Move Your Shares and Open the Account

Existing companies usually join through a share exchange: you transfer your shares and receive shares in the holding company. Your home country may tax this, so we plan the order with your tax adviser first. We then file the beneficial owners and introduce the holding company to our banking partner from the same KYC file.

Holding Company Formation Handled for You

You deal with one team from the group chart to a working account, wherever you live.

  • Group chart reviewed: Your companies mapped before anything is filed.
  • Remote signing: Documents certified where you live, with no trip needed.
  • Agent and administrator work: Covered in the BVI and Jersey, where the law requires it.
  • Share exchange planned: Your companies moved under the holding in the right order.
  • Registers kept current: Members and owners filed within each deadline.

Where to Set Up a Holding Company in 2026

Cyprus is the right fit for most founders who want an EU holding company with low running costs. The BVI suits a pure holding company over companies outside the EU at the lowest yearly cost. Malta suits groups that plan an exit, Jersey suits groups with UK links, and the UAE suits founders who live there.

We compare the five on tax, dividends and gains received, withholding on dividends paid out, substance, owner filings, EU membership, time and price. Our ranking of the best countries for holding company formation covers more locations, and our guide to European holding company formation covers the EU options in depth.

Read the withholding row first if you live outside the EU. All five can pay dividends to you as an individual with no tax at source, but a Cyprus holding company owned 50% or more by a BVI or Jersey company withholds 5% from 2026. Next, read the substance row: the BVI is the lightest for a company that only holds shares.

Cyprus Holding Company Formation

Cyprus suits founders who want an EU holding company with simple rules and low running costs. Corporate tax rose from 12.5% to 15% on 1 January 2026, but a holding company rarely pays it. Dividends it receives are exempt, and gains on shares are exempt unless the company sold owns Cyprus property. Foreign dividends are also free of the 5% defence contribution unless the payer mostly earns investment income and pays an effective tax rate below 7.5%.

Dividends paid abroad carry no withholding tax, with two exceptions for company owners. Dividends to a company in a jurisdiction on the EU list of non-cooperative jurisdictions bear 17%. From 1 January 2026, dividends to an associated company, one holding 50% or more, in a low-tax jurisdiction bear 5%, and the Tax Department's 2026 list includes the BVI, Jersey, Guernsey, the Isle of Man and the Cayman Islands. Individuals who hold the shares directly are not affected. The 2026 reform also abolished the deemed dividend rules for profits made after 31 December 2025 and made every company incorporated in Cyprus resident there unless a treaty says otherwise.

We form a Cyprus holding company from €1,200 in about a week. The catch is the yearly audit, and the need to run the company from Cyprus so another country cannot claim it. Our guide to holding company formation in Cyprus covers each step.

Malta Holding Company Setup

Malta suits groups that plan to sell, hold several stakes or need the widest qualifying tests. Malta charges 35%, but dividends and gains from a participating holding are exempt. A stake qualifies through any one test, such as at least 5% of the equity, the right to appoint a director, or €1,164,000 invested for 183 days. Dividends from outside the EU need one more condition: the payer is taxed at 15% or more, or no more than half its income is passive interest or royalties.

Where income is taxed, shareholders claim a refund of 6/7ths, 5/7ths or 2/3 of the tax, and the 6/7ths refund brings the usual effective rate to about 5%. Rules issued in September 2025 also let a company elect a flat 15% final tax with no refund. Malta charges no withholding tax on dividends paid to non-residents.

We form a Malta holding company from €1,299 in about a week. The catch is the running cost: a company secretary and an audit every year. Our guide to setting up a Malta holding company covers the process.

BVI Holding Company for Non-Residents

The BVI suits founders who want a pure holding company over companies outside the EU at the lowest yearly cost. There is no corporate tax, no capital gains tax and no withholding tax on dividends. The Registry charges US$550 a year for a company authorised to issue up to 50,000 shares, or US$1,350 above that.

A pure equity holding entity must meet its duties under the BVI Business Companies Act and have adequate people and premises in the BVI for holding its shares, which its registered agent usually covers. It needs no board meetings in the BVI. Owners with 10% or more are filed with the Registry within 30 days of incorporation, that register is not public, and the company files an annual financial return with its agent within 9 months of its year end.

We form a BVI holding company from €1,899 in 2 to 5 working days, through a licensed registered agent. The catch is banking: the BVI is on the EU's Annex II watch list and on the FATF list of jurisdictions under increased monitoring, so banks ask more questions, and an EU subsidiary may withhold tax on dividends to a BVI parent. A BVI holding company for non residents works best above companies outside the EU. Read our guide on how to set up a BVI holding company and our page on BVI economic substance for holding companies.

Jersey Holding Company Requirements

Jersey suits groups with UK links, family offices and investors who want a well regulated island outside the EU. A holding company pays tax at the 0% general rate, there is no capital gains tax, and Jersey charges no withholding tax on dividends paid to non-residents.

The main Jersey holding company requirements come from three rules. Holding company business is covered by Jersey's economic substance law, so the company needs adequate people and premises in Jersey and a board that decides there; a failure can cost up to £10,000 in the first period and up to £100,000 in the second. Beneficial owners are filed with the JFSC Registry, with changes notified within 21 days. Every company files an annual confirmation statement by the end of February, at £339 in 2026 for a company administered by a trust company business. Company administration is a licensed activity, so we work with licensed administrators and handle the setup.

We form a Jersey holding company from €1,499 in about a week. The catch is the yearly administration, which costs more than an agent in the BVI. See our guide on how to set up a Jersey holding company and our page on Jersey holding company tax benefits.

Setting Up a Holding Company in the UAE

The UAE suits founders who live there or run a group from there. Corporate tax is 0% on taxable income up to AED 375,000 and 9% above it. Dividends from UAE companies are exempt. Dividends and gains from foreign companies are exempt when the holding company owns at least 5%, or paid at least AED 4 million, holds the stake for 12 months, the subsidiary is taxed at 9% or more, and no more than half of the subsidiary's assets are stakes that would fail the test. Withholding tax is set at 0%.

A free zone holding company can pay 0% on qualifying income as a Qualifying Free Zone Person. Holding shares for investment is a qualifying activity, but the company must keep adequate substance in its zone, prepare audited financial statements and keep non-qualifying revenue below 5% of the total or AED 5 million, whichever is lower.

We form a UAE holding company from €1,899 in about a week. The catch is the subject to tax test: dividends from a subsidiary in the BVI, Jersey or another 0% jurisdiction do not qualify, so a UAE holding company works best above companies that pay real tax. Our guide on how to set up a holding company in Dubai covers the free zone options, and our UAE holding company guide covers the wider country.

Which Jurisdiction Fits Your Holding Company

Choose Cyprus if you want an EU holding company with the lowest running cost and you will receive dividends as an individual. Choose Malta for an exit or many stakes. Choose the BVI if your subsidiaries are outside the EU, the company will only hold shares and you want the lowest yearly bill. Choose Jersey if your group has UK links and your board will meet there. Choose the UAE if you live there and your subsidiaries pay tax at 9% or more. For a pure offshore holding, our ranking of the best offshore jurisdictions for a holding company goes further.

Documents Needed to Set Up a Holding Company

To set up a holding company you need identity and address documents for every director and owner, a group chart, proof of the source of funds and wealth, and the corporate documents of any company that will own shares. Certified copies are made where you live, so you do not need to travel.

  • Passport copies: Certified, for every director, shareholder and beneficial owner.
  • Proof of address: A recent utility bill or bank statement for each person.
  • Group chart: Every company, its country and its owners, up to the individuals at the top.
  • Source of funds: Where the share capital and any loans to the holding come from.
  • Source of wealth: How the owners built the assets the group holds.
  • Corporate shareholders: Certificate of incorporation, registers and ownership chart.
  • Activity note: What the holding company will own and whether it will lend or charge fees.

The registry, the agent and the bank ask for the same documents, so we collect them once. Our list of documents you need to set up a company shows the core items.

Substance and Reporting After You Form a Holding Company

After you form a holding company, it keeps its tax position by meeting substance rules, filing its owners and reporting every year. Pillar Two and the EU blacklist affect only some groups.

Economic Substance for Holding Companies

The BVI and Jersey have economic substance laws that cover holding shares. A BVI pure equity holding entity reports within 6 months of its year end. The UAE's substance reports ended with years closing on 31 December 2022, but a free zone company still needs substance in its zone for the 0% rate. Cyprus and Malta have no separate substance law, but EU anti-abuse rules deny relief to structures with no real business, so hold board meetings where the company is formed.

Beneficial Ownership Filings

All five keep a register of the people who own or control the holding company, looking through the chain to the individuals at the top: 10% in the BVI, 25% in the UAE, the JFSC Registry in Jersey and EU registers in Cyprus and Malta. Plan the top of the group knowing that every owner will be named to the registry and the bank.

CRS Reporting From 2026

Banks and payment firms report accounts held by companies and their controlling owners under the OECD Common Reporting Standard. In the EU, the amended rules in Directive (EU) 2023/2226 apply from 1 January 2026 and bring e-money accounts and crypto-assets into reporting. The UAE applies the standard through Cabinet Resolution No. 93 of 2021.

Pillar Two Applies Only Above €750 Million

The 15% global minimum tax under Directive (EU) 2022/2523 applies only to groups with revenue of €750 million or more in at least two of the last four years. Jersey's 15% Multinational Corporate Income Tax and the UAE's 15% Domestic Minimum Top-up Tax apply to those groups from years starting on or after 1 January 2025. A founder or family group below the threshold keeps the results above.

EU Blacklist Rules for Payments From EU Companies

The EU list of non-cooperative jurisdictions, updated on 9 October 2026, names American Samoa, Anguilla, Guam, Palau, Russia, the Turks and Caicos Islands, the US Virgin Islands and Vanuatu. None of the five here is on it. The BVI sits on Annex II, the watch list of jurisdictions with open commitments, while Jersey and the UAE have none. EU countries apply defensive measures to listed jurisdictions: Cyprus withholds 17% on dividends to companies there, and Malta denies its participation exemption on income from them.

Bank Account After Setting Up a Holding Company

A holding company needs an account to receive dividends, pay its owners and fund new companies. Local banks review holding companies slowly because they check the whole group, and some charge more for companies formed outside the EEA. Our banking partner opens accounts for holding structures in about a week once the file is complete.

Local and Private Banks for Holding Companies

Bank of Cyprus, in its June 2026 charges for international business customers, takes €50 a month from an active company incorporated in the EEA and €75 from one incorporated outside it, plus €20 in any month with four or fewer transactions. New customers from outside the EEA pay a €300 application fee, or €500 where enhanced due diligence applies. Our guide to the best banks for Cyprus companies covers the local options.

Emirates NBD's business schedule of charges of June 2025 sets an average balance of AED 50,000 on its Proprietor and Prime packages. Banks in Jersey and the BVI price holding companies on the relationship and rarely publish minimums, and the BVI's place on the FATF monitoring list means extra checks. Our pages on bank accounts for Jersey holding companies and opening a bank account for a BVI holding company go into detail.

Our Banking Partner for Holding Structures

Our banking partner for holding companies, SPVs and other complex structures is a regulated payment and e-money firm, not a bank. It opens accounts in about a week once the file is complete, holds EUR, USD, GBP, AED and more than 50 other currencies, and prices each account on the structure, quoted with your setup. It does not lend, and client money is safeguarded rather than covered by a deposit guarantee. Our guide on opening a bank account for holding companies covers the wider choice.

A quiet holding company with few payments often pays a low-activity charge at a local bank every month, so an account priced on the structure is usually the simpler start. A local bank can be added later if the group needs lending.

Open an Account for Your Holding Company

The account opens fast when the group file is complete, and we build that file during formation.

  • Opened in about a week: Once every owner and subsidiary is documented.
  • Multi-currency from day one: EUR, USD, GBP, AED and more than 50 others.
  • Group file prepared: Chart, owners and source of funds ready for review.
  • Built for complex structures: Holding companies, SPVs and groups with several layers.
  • Priced on your structure: One quote with your setup, no surprises later.

Common Mistakes When Setting Up a Holding Company

Mistakes when setting up a holding company rarely show in the first year. These four come up often, and each is cheap to avoid before the company is formed.

Owning a Cyprus Holding Through a BVI Company

Some founders put a BVI or Jersey company above their Cyprus holding company for privacy. Since 1 January 2026, a Cyprus company that pays a dividend to an associated company in a listed low-tax jurisdiction withholds 5%. On a €1 million dividend, that is €50,000 lost on the way out, every time. Hold the Cyprus company directly as an individual, or through a company in a jurisdiction that is not on the Tax Department's 2026 list, such as the UAE. Decide this before you build the top of the group, because changing it later means another share transfer.

Running the Holding Company From Home

Founders form the holding company abroad, then make every decision from home by email. The home country can then argue that the company is managed there and tax it as its own. On a €1 million gain from selling a subsidiary, a 25% home rate would cost €250,000 that the exemption was meant to save. Hold board meetings where the company is formed, add a local director where it helps and keep signed minutes of each decision. Your board then has the evidence it needs if the home tax office asks.

Lending to Subsidiaries From a Pure Holding

A pure holding company in the BVI or Jersey often starts lending spare cash to its subsidiaries. Lending is a separate activity under the substance laws, so the company moves to a stricter test with people, premises and management on the island. In Jersey, a failure can cost up to £10,000 in the first period and up to £100,000 in the second. Fund subsidiaries with equity instead, or set up a separate finance company with its own substance, and decide this before the first loan is signed rather than after the year end.

Setting It Up When a Buyer Appears

Many owners start a holding company only when a sale is close, so the clocks start too late. The UAE needs a stake to be held for 12 months before a gain is exempt, and Malta's €1,164,000 test needs 183 days. Tax authorities also look hard at a structure created just before a deal. Register a holding company as soon as a sale is possible, ideally a year or more ahead, and move the subsidiaries under it early so every holding period is already running when a buyer calls.

Plan Your Holding Company Setup With Us

Tell us about your group and we come back with the jurisdiction, the structure and the first-year cost.

  • Jurisdiction picked with reasons: Tax, substance and banking weighed for your group.
  • Withholding traps checked: Low-tax and blacklist rules tested before filing.
  • Substance planned: Board, directors and minutes set for where the company sits.
  • Exit timing set: Holding periods started early, not when a buyer calls.
  • One written quote: Formation, running costs and the account in one figure.

Bottom Line on How to Set Up a Holding Company

A holding company works when the jurisdiction matches your group. All five let qualifying dividends and gains reach the holding company with 0% tax and pay dividends to individuals abroad with no withholding. The differences sit in the tests, the substance rules, the banks and the yearly cost.

We form holding companies from €1,200 in Cyprus, €1,299 in Malta, €1,499 in Jersey and €1,899 in the BVI and the UAE, most in about a week. For most founders who want an EU parent, Cyprus is our pick. Choose the BVI for a pure holding over companies outside the EU, Malta for an exit, Jersey for groups with UK links and the UAE if you live there. Tell us about your group, and we set it up.
