Cyprus offshore company formation gives you an EU company that you can own and run from any country. It pays 15% corporate tax, most dividends and share gains it receives are exempt, and most dividends it pays to owners abroad carry no withholding tax. It also has more than 65 tax treaties and an IP box at about 3%.
The hard part is that it is not offshore in the old sense. Cyprus closed its offshore regime in 2003, so the company is taxed in Cyprus when it is managed there. It needs a secretary, a local office, audited accounts and its owners on the beneficial owner register, and banks check that the business is real.
This is where we come in. We form the company ourselves and handle the structure, your KYC pack, the memorandum and articles, the lawyer's filing, the office and secretary, and the first tax and ownership filings. One team, one price from €1,200, and your company is ready in about a week.

What a Cyprus Offshore Company Means in 2026
A Cyprus offshore company in 2026 is an ordinary Cyprus private company limited by shares that is owned by non-residents and does its business outside Cyprus. Cyprus has had no separate offshore regime since 1 January 2003. The company follows the same law, pays the same 15% tax and files the same accounts as every other Cyprus company.
How the Old Offshore Regime Ended
Until the end of 2002, Cyprus had a regime for international business companies. They earned their income outside Cyprus, were kept apart from the local market and paid tax at 4.25%. Tax laws enacted on 1 July 2002 replaced it with one 10% corporation tax for every company from 1 January 2003. Active companies with only foreign income could keep the 4.25% rate up to 2005. Cyprus joined the EU on 1 May 2004, and the rate is 15% from 1 January 2026.
What the Term Means Today
Today the term describes how a company is used, not a legal type. The owners live abroad, the customers or assets are outside Cyprus, and the company is formed under the Companies Law, Cap. 113, like any other. So you get a real EU company with tax residence, treaty access and a structure that banks know well. Read what an offshore company is for the wider picture.
Why Non-Residents Choose a Cyprus Offshore Company
Non-residents choose a Cyprus offshore company for EU membership, full foreign ownership and low tax on international income. Trading profit pays 15%, most dividends and share gains received are exempt, most outbound dividends carry no withholding tax and qualifying IP profit is taxed at about 3%. Each benefit works best with real management in Cyprus.
An EU Company You Can Own From Abroad
Cyprus has been in the EU since 2004 and uses the euro. Your company gets an EU VAT number, sells across the single market and can use EU directives, such as the Parent-Subsidiary Directive for group dividends. The law sets no residency or nationality rule for shareholders or directors, so one person abroad can own every share.
15% Tax With Exempt Dividends and Gains
The rate is 15% from 1 January 2026, up from 12.5%. Dividends received, profits from selling shares and bonds, and foreign branch profits are generally exempt, subject to anti-avoidance rules. That makes the company a strong base for holding income.
Set Up a Cyprus Offshore Company
Setting one up from abroad is very doable. This is what you get.
- An EU company: Single market access and an EU VAT number.
- Full foreign ownership: One owner abroad can hold every share.
- Exempt holding income: Most dividends and share gains received are tax free.
- No withholding on payouts: Most dividends to owners abroad carry no Cyprus withholding tax.
- About 3% on IP profit: Qualifying IP income taxed through the IP box.
- Ready in about a week: We form it from €1,200, Registrar and lawyer fees included.
No Withholding Tax on Most Payments Abroad
Cyprus charges no withholding tax on dividends or interest paid to non-residents, or on royalties for rights used outside Cyprus. The exceptions are payments to companies in countries on the EU list of non-cooperative jurisdictions and, from 2026, some dividends to related companies in low-tax countries. Your home country may still tax the dividend you receive, so we plan the structure with its rules in mind.
An IP Box at About 3%
Qualifying profit from patents, copyrighted software and similar assets gets an 80% notional deduction, about 3% at the 15% rate. Trademarks do not qualify, and the qualifying share depends on how much development the company does itself. Our page on the Cyprus IP box regime covers the rules.
How a Cyprus Offshore Company Is Used
A Cyprus offshore company is used for international trade and services, holding shares, owning IP and software, and family or trust structures. In each case it is the same private company described in our Cyprus company formation guide. What changes is the income it earns and the substance it needs.
International Trading and Services
A trading or service company invoices customers in other countries from Cyprus. Consultants, software firms and agencies often use it. Profit is taxed at 15%, and the company registers for VAT before it sells services to businesses in other EU countries.
Holding Company and Family Structures
A holding company owns shares in operating companies, receives dividends and sells shares mostly tax free, then pays dividends on to its owners abroad. Families often place it under a trust, so the trust owns the shares, as our page on the Cyprus international trust explains. See holding company formation in Cyprus and how to set up a holding company for a group.
IP and Software Company
An IP company owns patents or copyrighted software and earns licence or sales income from them. The qualifying part is taxed at about 3%, as long as the company does or pays for the development. Read how an IP holding company works.

Offshore Company Formation in Cyprus for Non-Residents
Offshore company formation in Cyprus is open to founders from almost any country, with no residency or nationality rule for shareholders or directors and no trip to Cyprus. The company does need a secretary and a registered office in Cyprus, and we arrange both. What needs planning is who sits on the board and where it meets.
Owners, Directors and the Secretary
A private company has 1 to 50 shareholders, at least one director and a secretary. The director and the secretary must be 18 or older. A sole director can also be the secretary only when the company has one shareholder and one director. We provide the registered office and the secretary at formation.
Setting Up Remotely
You do not need to travel to Cyprus. You sign the memorandum and articles before a witness at home. Your documents are certified where you live, usually with an apostille, and a Cyprus lawyer swears the HE1 declaration for you.
Read more: how to set up a company as a non-resident.
Open an Offshore Company in Cyprus From Abroad
You can set the company up without leaving home. We run each step remotely.
- No travel needed: Documents certified at home, the HE1 sworn by a Cyprus lawyer.
- Local presence ready: Registered office and secretary in place on filing day.
- Board planned early: We agree where the board meets before we file.
- Greek translations handled: Certified translations prepared where needed.
- One contact for all owners: Documents tracked across time zones.
How to Register an Offshore Company in Cyprus
To register an offshore company in Cyprus, the name is approved first. Then a Cyprus lawyer files Form HE1, the memorandum and articles and the witness declaration online with the Department of Registrar of Companies and Intellectual Property. We run every step, and a complete file becomes a company in about a week.
Before You Start
Decide who owns the shares, who the director and secretary are, what the company will do and where the board will meet. If the activity needs a CySEC or Central Bank of Cyprus licence, as a fintech company in Cyprus often does, plan the licence first.
We Clear the Name and Build Your File
We check your name against the register and trademarks. The Registrar charges €10 per proposed name, plus €20 per name for faster processing, and keeps an approved name for six months. A private company name ends in Limited or Ltd. Then we verify every owner and director, build one KYC pack and draft the memorandum and articles.
We File the Company Online
The application is filed through the Registrar's e-filing system. Only a Cyprus lawyer can apply, because the lawyer signs Form HE1 and swears it before the court. We work with Cyprus lawyers who do this for you. The €165 Registrar fee and the €100 accelerated fee sit inside our price.
We Handle the Filings After Registration
The company then registers for a tax number within 60 days and files its beneficial owners within 90 days. It registers for VAT once taxable supplies pass €15,600, or before it sells services to EU businesses. We make the first tax and ownership filings for you.
Documents Needed for a Cyprus Offshore Company
Each shareholder, director and beneficial owner sends:
- Passport: A clear, valid copy, certified in your country.
- Proof of address: A recent utility bill or bank statement.
- CV or profile: Your work history, especially for directors.
- Source of funds and wealth: Evidence of where the money comes from.
- Business plan: What the company sells, to whom, and how money moves.
A corporate shareholder adds its incorporation documents, registers, a certificate of good standing and its own beneficial owners. Documents not in English or Greek need a certified translation.
Full-Service Cyprus Offshore Company Registration
We cover every step, so you never deal with the Registrar.
- Name checked early: Tested against the register and trademarks first.
- Filing by a Cyprus lawyer: HE1 sworn and the company filed online for you.
- One KYC pack: The same file serves the lawyer, the Registrar and the bank.
- Tax registration done: Your tax number requested inside the 60 days.
- Ownership register filed: The first beneficial owner filing made at setup.
- Written scope first: Price and scope confirmed before you pay.

Company with a director and board in Cyprus | Quoted with your setup | Director fees and board meetings |
Investment firm, EMI, crypto or fund | Quoted separately | Licence, regulatory capital and banking |
A quiet holding company sits at the low end. A company with VAT returns, staff or a board in Cyprus costs more, and that substance is often what keeps its tax position safe.

How Long Offshore Company Incorporation in Cyprus Takes
Offshore company incorporation in Cyprus takes about a week with us from a complete file. The Registrar publishes no standard processing time, so the pace depends on the owner checks, the documents and the accelerated service. The tax number, the ownership filing and the bank account follow in the weeks after.
Cyprus Offshore Company Timeline
The KYC pack takes a few days when the documents are clear. Then come the name approval and the lawyer's filing, and the €100 accelerated service speeds up the Registrar's review. Several layers of ownership, missing apostilles or a licensed activity add time. Our banking partners review the same KYC pack, so the account usually opens within days of the company existing.

Tax Residence, Substance and Compliance in Cyprus
A Cyprus offshore company is tax resident in Cyprus when it is managed and controlled there. From 2026, a company incorporated in Cyprus is also resident by default unless a tax treaty says otherwise. So it pays Cyprus tax, needs real management on the island and files audited accounts.
Where the Company Is Tax Resident
Management and control means where the board takes the real decisions. If every decision is made in your home country, that country may claim the company, and the treaty tie-breaker decides. Board meetings in Cyprus with directors who can decide keep the position clear and support a Cyprus tax residency certificate.
Real Substance and the Shell Company Rules
Substance matters in Cyprus for tax residence, treaty claims, the IP box and the bank. Since 2018 the Central Bank of Cyprus has told banks to avoid or closely review shell companies, meaning companies with no real presence and no real economic activity. A board in Cyprus, an office and documented business keep you clear of it. Read what a shell company is.
Rules in Your Home Country
Your home country may tax the profit of a foreign company you control under its controlled foreign company rules, and it may tax the dividends you receive. Cyprus has applied the OECD Common Reporting Standard since 1 January 2016, so accounts of foreign tax residents are reported to their home countries. We build the structure with these rules in mind from the start, and our page on controlled foreign corporation rules explains how they work.
Yearly Filings and Deadlines
Every company files audited financial statements with its tax return. For financial years from 6 February 2026, a very small company with turnover under €300,000 and gross assets under €500,000 for two years in a row can use a review instead. The annual return, Form HE32, costs €20 when filed within 28 days of its date. Provisional tax falls on 31 July and 31 December, and the 2026 return is due by 31 January 2028. Owners are confirmed each year between 1 October and 31 December on the Cyprus UBO register.

Business Banking for a Cyprus Offshore Company
Your company needs an account before it can trade, and this step needs preparation. Local banks review companies with owners abroad carefully and can take weeks. Our banking partners open multi-currency accounts remotely in days, and we build the bank file while we form the company.
Local Banks in Cyprus
Bank of Cyprus publishes its tariff. Its June 2026 charges for international business customers list a €500 enhanced due diligence fee for new customers, €50 a month for the account of an active EEA company and review fees of €500 to €2,000. Eurobank, which merged with Hellenic Bank on 1 September 2025, also serves companies. Both apply the Central Bank's shell company guidance, so slow reviews and refusals are common for new companies with no local activity. A clear business plan helps, as our page on an offshore bank account in Cyprus explains.
Accounts Through Our Banking Partners
We work with regulated banking partners that open multi-currency business accounts for Cyprus companies in days, remotely and with no minimum balance. They are payment institutions and EMIs, not banks, and their plans cost about €30 to €100 a month. They review the same KYC pack as the company, so we prepare one file and make the introduction. See what an EMI account is or how we plan Cyprus company formation with a bank account.
Factor | Local banks in Cyprus | Our banking partners |
|---|---|---|
Opening time | Weeks of review for owners abroad | Days, from a complete file |
Branch visit | Sometimes requested | Not needed, fully remote |
Monthly cost | €50 at Bank of Cyprus for an active EEA company | About €30 to €100 on a published plan |
Best for | Staff, premises, loans or the €200,000 foreign interests deposit | Founders abroad who need to trade quickly |
A local bank makes sense once the company has staff, premises or a loan, or needs the €200,000 deposit of a foreign interest company in Cyprus. For most founders abroad, our partners are the faster start.

Cyprus vs the UAE, the Isle of Man and Jersey
Cyprus is the only EU member of the four, and its 15% rate is the highest standard rate. The UAE, the Isle of Man and Jersey can tax company profit at 0%. None of them is in the EU, so a company there cannot rely on the single market or EU directives.

Cyprus has the lowest starting price of the four with us and the only EU company. The others give a lower rate on most income. Each has substance rules, and a company run from your home country can be taxed there wherever it is formed.
Cyprus vs the UAE
The UAE charges 0% on profit up to AED 375,000 and 9% above it, and qualifying free zone income is taxed at 0%. It does not tax personal income, which suits founders who move there. Cyprus suits EU trade and holding structures that need EU directives. Read about offshore company setup in the UAE.

Who an Offshore Company in Cyprus Is Wrong For
An offshore company in Cyprus is the wrong choice if you want 0% tax or no yearly accounts. Cyprus taxes profit at 15%, every company files audited or reviewed accounts, and its owners are filed on the beneficial owner register. If a 0% rate matters most, the Isle of Man, Jersey or a BVI offshore company can fit better, each with its own substance and reporting rules.
It is also a poor fit if you run everything from home with no board or office in Cyprus. A very small business may also find that the audit and the secretary cost more than the tax it saves. Inside the EU, Malta has a lower effective rate, as our guide to Malta offshore company formation explains.
Common Mistakes With a Cyprus Offshore Company
Most problems with offshore companies in Cyprus come from old ideas about what offshore means. These are the three mistakes we see most often, and each one is easy to avoid when it is planned before we file the company.
Expecting an Old-Style Offshore Company
Some founders still expect 0% tax, no accounts and no local presence, based on rules that ended in 2003. Run that way, the company files late, pays penalties and may face tax in two countries. At 15%, every €100,000 of taxable profit costs €15,000 in Cyprus tax. Plan on the real rules, then use the exemptions the law gives you: dividends, share gains, the IP box and the notional interest deduction on new equity.
Running the Company From Your Home Country
If every decision is taken where you live, your home country may treat the company as its own tax resident, and the treaty benefits may not apply. The bank may also see a shell and close the account. Hold board meetings in Cyprus, keep minutes and appoint at least one director there who makes real decisions. We plan the board with you before we file.
Missing the Beneficial Owner Deadline
Every Cyprus company names its real owners. The beneficial owners are filed with the Registrar within 90 days of incorporation and changes within 45 days. Fines start at €200 plus €100 a day, up to €20,000, for the company and for each officer. Banks check the same owners in their own reviews, so the register and the bank file must match. We file the owners at setup and put the yearly confirmation in your calendar.
Complex Cyprus Offshore Company Setups
Some setups need planning before we file. Send us your request if one of these fits you.
- Licensed business: CySEC, Central Bank or MiCA licences planned with the company.
- Holding and IP groups: Dividend flows and the IP box set up from day one.
- Trust or family structure: The company and the trust planned together.
- Board in Cyprus: Resident directors and meetings arranged for tax residence.
- Several owners or layers: Share classes and corporate owners checked early.
- Honest advice: We tell you when the UAE, Jersey or the Isle of Man fits better.
Bottom Line
Cyprus has had no offshore regime since 2003. A Cyprus offshore company today is a normal EU company owned from abroad. It pays 15% tax, with exempt dividends and share gains, no withholding tax on most payouts, an IP box at about 3% and more than 65 tax treaties. In return it needs real management in Cyprus, audited accounts and its owners on the register.
That is a good trade for holding companies, IP and software firms and EU trading businesses, and the wrong one if you want 0% tax with no presence. We form it ourselves through our Cyprus company incorporation service, from €1,200, with the lawyer's filing, Registrar fees, office, secretary and first filings included. Your company is ready in about a week, and our banking partners open the account in days.
